Welcome to The Sunny Desk (“The Sunny Desk,” “TSD,” “we,” “us,” or “our”).
These Terms & Legal govern your access to and use of The Sunny Desk website, services, products, client areas, content, programs, subscriptions, communications, and other offerings.
By accessing the website, submitting a service request, becoming a client, purchasing a product, enrolling in a subscription or program, accessing a client area, or otherwise using TSD, you acknowledge that you have had an opportunity to review these terms and agree to the terms applicable to your use, to the maximum extent permitted by law.
If you do not agree with these terms, do not use the website or purchase or use TSD services or offerings.
1. ABOUT THE SUNNY DESK
The Sunny Desk provides virtual and remote support services and may also offer physical products, digital products, subscriptions, educational resources, coaching, programs, bundles, and other offerings.
TSD's service categories may include:

Virtual Document Services;

Organization & Administrative Support;

Senior Support; and

Coaching & Education.
TSD may add, modify, suspend, replace, or discontinue services, products, programs, features, or offerings at any time, subject to applicable law and any specific agreement already entered into with a client.
2. SERVICES ARE PROVIDED BASED ON THE AGREED SCOPE
Services are provided according to the description, scope, limitations, timeframe, deliverables, and other terms applicable to the service purchased or agreed upon.
A request for assistance does not automatically create an obligation for TSD to perform work outside the agreed scope.
If additional work is requested, TSD may require a new purchase, additional payment, revised scope, or separate agreement before performing that work.
TSD may decline a request when it is outside the services offered, requires professional licensure or expertise TSD does not provide, creates unreasonable risk, cannot reasonably be completed virtually, violates applicable law, or otherwise falls outside TSD's business capabilities.
3. VIRTUAL TECHNOLOGY SUPPORT
Technology support may include general assistance with devices, software, accounts, digital tools, settings, navigation, troubleshooting, organization, and other everyday technology matters within the agreed scope.
TSD does not guarantee that a device, account, application, website, software program, operating system, internet connection, or third-party platform will function properly after assistance.
Technology systems may change without notice, and third-party providers may modify, restrict, suspend, or discontinue features.
TSD is not responsible for failures, outages, incompatibilities, data loss, security incidents, account restrictions, software changes, or other issues caused by third-party systems or circumstances outside TSD's reasonable control.
4. VIRTUAL DOCUMENT SERVICES
TSD may assist with organizing, formatting, preparing, converting, digitizing, typing, arranging, or otherwise working with documents and information within the agreed scope.
Unless expressly stated otherwise, TSD does not provide legal, tax, accounting, medical, financial, immigration, insurance, employment, or other licensed professional advice.
TSD does not guarantee that a document will satisfy the requirements of a court, government agency, employer, school, financial institution, insurer, attorney, or other third party.
The client remains responsible for reviewing the final document and determining whether it is accurate, complete, appropriate, and suitable for its intended purpose.
5. ORGANIZATION & ADMINISTRATIVE SUPPORT
Organization and administrative support may include virtual assistance with permitted administrative, organizational, scheduling, document, research, data-entry, communication, or similar tasks.
TSD does not guarantee that administrative assistance will produce a particular business, financial, employment, organizational, or personal result.
TSD may decline tasks involving unlawful activity, deception, impersonation, unauthorized access, regulated professional services, or activities outside the agreed scope.
6. SENIOR SUPPORT
Senior Support is intended to provide practical virtual assistance and education with everyday technology, documents, organization, digital tasks, and related needs.
TSD's Senior Support services are not medical care, nursing care, home health care, emergency care, transportation, personal care, financial management, legal representation, or other licensed professional care unless expressly stated in a separate written agreement and legally permitted.
TSD does not provide emergency services.
If an emergency, medical concern, suspected abuse, immediate safety concern, or other urgent situation occurs, the client or responsible person must contact the appropriate emergency or professional service.
TSD may communicate with a family member, caregiver, authorized representative, or other person only when appropriate authorization has been provided or when otherwise legally permitted.
7. COACHING & EDUCATION
TSD may provide educational resources, coaching, guidance, organizational support, personal-development resources, and other educational offerings.
Coaching and educational services are not a substitute for medical, mental-health, legal, financial, tax, accounting, or other licensed professional advice.
TSD does not guarantee a specific personal, professional, business, financial, educational, or other outcome.
Clients remain responsible for their own decisions and actions.
8. CLIENT INFORMATION & DOCUMENTS
Clients may provide TSD with information, documents, files, photographs, account details, instructions, or other materials necessary to perform an agreed service.
Clients represent that they have the legal right and authority to provide the information and authorize TSD to use it for the requested service.
Clients should provide only information reasonably necessary for the requested service.
TSD may refuse to accept information that appears unnecessary, unlawfully obtained, unsafe to handle, or outside the scope of the service.
TSD is not responsible for inaccurate, incomplete, outdated, fraudulent, unauthorized, or improperly supplied information provided by a client.
Clients remain responsible for maintaining their own original records and backups unless TSD expressly agrees otherwise in writing.
9. ACCOUNT, DEVICE & TECHNOLOGY ACCESS
Some services may require a client to provide access to a device, account, application, file, platform, or other technology.
Clients are responsible for providing lawful authorization for any access requested.
TSD will not knowingly access an account or system without appropriate authorization.
Clients should not provide passwords, security codes, Social Security numbers, financial account credentials, or other highly sensitive information unless specifically required, requested through an appropriate secure process, and reasonably necessary for the service.
Where possible, TSD may use temporary access, screen sharing, delegated access, client-controlled login, or other methods designed to reduce unnecessary exposure to credentials.
Clients remain responsible for the security of their accounts and devices.
10. CLIENT RESPONSIBILITIES
Clients agree to:

provide accurate and complete information;

provide timely instructions and approvals;

maintain necessary access to devices, accounts, files, and platforms;

review completed work;

maintain copies of important original documents;

use lawful and authorized methods;

follow applicable third-party terms;

communicate material changes affecting the requested service; and
-
pay all applicable fees.
Delays caused by missing information, unavailable access, client inaction, third-party systems, or other circumstances outside TSD's reasonable control may affect completion timeframes.
11. THIRD-PARTY PLATFORMS
TSD may rely on third-party platforms for payments, scheduling, file sharing, communications, video meetings, website hosting, digital delivery, client portals, cloud storage, publishing, shipping, or other business functions.
TSD does not control independent third-party platforms.
TSD is not responsible for third-party outages, security incidents, account restrictions, policy changes, data loss, compatibility issues, service interruptions, or other actions by third-party providers.
Clients may be required to agree to separate third-party terms.
12. CONFIDENTIALITY
TSD will use reasonable measures to protect client information and will use client information for legitimate business and service purposes consistent with applicable law and the TSD Privacy Policy.
However, electronic communications and internet-based systems cannot be guaranteed to be completely secure.
TSD does not guarantee absolute confidentiality or security of information transmitted through ordinary email, messaging, public networks, or third-party platforms.
Clients should use designated secure methods when available for sensitive information.
13. INTELLECTUAL PROPERTY
The Sunny Desk name, branding, logos, website content, original written materials, graphics, designs, templates, educational materials, digital products, product concepts, and other TSD intellectual property are owned by or licensed to TSD unless otherwise stated.
Purchasing a service or product does not transfer ownership of TSD intellectual property.
Clients may not reproduce, distribute, resell, publish, upload, commercially exploit, or create unauthorized derivative works from TSD materials.
Client-owned documents and information remain the client's property, subject to any separate rights belonging to third parties.
14. WEBSITE & CONTENT
TSD provides general informational, educational, organizational, technology, and business-related content through its website, The Sunny Desk Hub, and other channels.
Content may become outdated and should not be treated as individualized professional advice.
TSD may update or remove website content at any time.
15. NO GUARANTEE OF RESULTS
TSD does not guarantee that any service, product, coaching program, educational resource, or other offering will produce a particular result.
Results depend on numerous circumstances, including client participation, information provided, third-party systems, individual circumstances, and factors outside TSD's control.
16. DISCLAIMERS
To the maximum extent permitted by law, TSD provides its website, services, products, content, programs, and other offerings without warranties except those that cannot legally be excluded.
TSD does not guarantee uninterrupted availability, error-free operation, compatibility with every device or system, or achievement of a particular result.
Nothing in these terms excludes rights or warranties that cannot legally be excluded.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, The Sunny Desk and its owners, officers, employees, contractors, representatives, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the website, services, products, client information, third-party platforms, or other TSD offerings.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TSD's total aggregate liability arising from a particular service, product, or transaction will not exceed the amount actually paid to TSD for the specific service, product, or transaction giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded.
18. INDEMNIFICATION
TO THE MAXIMUM EXTENT PERMITTED BY LAW, you agree to defend, indemnify, and hold harmless The Sunny Desk and its owners, officers, employees, contractors, representatives, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from your unlawful conduct, misuse of TSD services or products, violation of these terms, unauthorized submission of information, violation of another person's rights, fraudulent conduct, or breach of your obligations under these terms.
19. SUSPENSION OR TERMINATION
TSD may suspend or terminate access to services, client areas, accounts, programs, subscriptions, or other offerings when reasonably necessary because of nonpayment, fraud, abuse, unlawful activity, security concerns, violation of these terms, operational requirements, or other legitimate business reasons, subject to applicable law and any specific agreement.
Termination does not eliminate obligations that arose before termination.
20. FORCE MAJEURE
TSD is not responsible for delays or failures caused by circumstances outside its reasonable control, including natural disasters, severe weather, fire, governmental action, internet or technology failures, cyber incidents, transportation disruptions, supplier issues, platform outages, labor disruptions, or other extraordinary circumstances.
21. GOVERNING LAW
These terms are governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.
22. SEVERABILITY
If any provision is found invalid or unenforceable, it will be modified or limited to the minimum extent necessary, and the remaining provisions will remain effective.
23. NO WAIVER
Failure by TSD to enforce any provision does not waive TSD's right to enforce that provision later.
24. CHANGES TO THESE TERMS
TSD may update these terms from time to time.
The updated version becomes effective when posted unless another effective date is stated.
For existing clients, subscriptions, or ongoing agreements, changes will be applied in accordance with applicable law and the terms governing the existing relationship.
25. ENTIRE AGREEMENT
These Terms & Legal, together with the Privacy Policy, Purchases, Refunds & Cancellations policy, service-specific terms, subscription terms, and any separate written agreement applicable to a transaction, constitute the applicable agreement between the parties regarding the subject matter addressed.
If a separate written service agreement expressly conflicts with these general website terms, the specific written agreement will control the applicable service relationship.

The Sunny Desk reserves all rights not expressly granted in these terms.
